Terms

§ 1 – Provider

Lingoa.chat, TK ENTERPRISES LTD, Griva Digeni 51, Paphos, Cyprus. Contact: hello@lingoa.chat.

§ 2 – Scope

1. These Terms govern the use of the Lingoa.chat messaging and translation service ("Service") available at https://lingoa.chat/app/.
2. An overview of the available features and their specifications can be found at https://lingoa.chat. The information provided there forms a binding part of the contract.

§ 3 – Registration and Contract Formation

1. The customer creates a profile in the app. The profile is identified by a secret access code held on the customer's device. Creating a profile alone does not constitute a paid contract.
2. A paid contract is formed when the customer purchases tokens through the payment provider Stripe. The contract is concluded upon successful payment confirmation.
3. The access code is the only means of accessing a profile. The Provider cannot restore a lost access code.

§ 4 – Tokens and Payments

1. Tokens are digital content. The customer purchases tokens, which are credited to their profile in full upon payment confirmation, and consumes them by translating messages. Consumption per message depends on the length and complexity of the message.
2. Payments are processed exclusively through Stripe. Accepted payment methods are determined by Stripe's available options.
3. All prices displayed are final prices and include VAT.
4. Tokens cannot be transferred to third parties.
5. Tokens do not expire.
6. Where the contract ends, the customer may request payment of the value of unused tokens they have paid for, free of charge. Starter credit and tokens granted free of charge are excluded.

§ 5 – Right of Withdrawal

1. Tokens are delivered in full at the moment payment is confirmed.
2. Before completing a purchase, the customer expressly requests that delivery begin before the end of the withdrawal period and acknowledges that the right of withdrawal lapses upon delivery. This request and acknowledgement are presented and confirmed at checkout.
3. The right of withdrawal therefore lapses when the tokens are credited.

§ 6 – Obligations of the Customer

1. The customer is responsible for maintaining the confidentiality of their access code. Any activity conducted through the customer's profile is their responsibility.
2. The customer shall not use the Service for any unlawful purpose or in any manner that could impair the availability or integrity of the platform.

§ 7 – Availability and Maintenance

1. The Provider endeavours to ensure the highest possible availability of the Service but does not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance where possible.
2. The Provider is not liable for temporary unavailability caused by circumstances beyond its control, including but not limited to force majeure, third-party infrastructure failures, or necessary security updates.

§ 8 – Liability

1. The Provider is liable without limitation for damages caused by intent or gross negligence.
2. For slight negligence, the Provider is only liable in the event of a breach of a material contractual obligation, limited to the foreseeable damage typical for this type of contract. Material contractual obligations are those whose fulfilment is essential for the proper performance of the contract.
3. The above limitations do not apply to damages arising from injury to life, body, or health, nor to liability under mandatory product liability law.
4. Statutory consumer rights remain unaffected.

§ 9 – Data Protection

The Provider collects and processes personal data necessary for the provision and billing of the Service in accordance with its Privacy Policy available at https://lingoa.chat/privacy/.

§ 10 – Term and Termination

1. The contractual relationship begins upon creation of the profile and continues for an indefinite period.
2. Either party may terminate the contract at any time with immediate effect.
3. Upon termination, the customer's access to the Service is revoked. Section 4.6 applies to any unused tokens.
4. The right to extraordinary termination for good cause remains unaffected for both parties.

§ 11 – Governing Law

1. These Terms are governed by the laws of the Republic of Cyprus. This choice of law does not deprive the customer of the protection afforded by mandatory provisions of the law of their country of residence.
2. The contractual language is English.
